LYNX AI Public Offer
Version v5.5 dated 11 October 2026.
Provider: LYNX AI limited liability company (LYNX AI LLC), Tax ID (STIR) 313122838, registered address: Republic of Uzbekistan, Tashkent city, Chilanzar district, Qozirobod MFY, Choʻponota koʻchasi, 10b-uy. Website: https://lynx-ai.uz/. Platform: https://crm.lynx-ai.uz/. Contact address: contact@lynx-ai.uz. Phone: +998 33 769 69 09. Registration details are set out in the Provider Details (in Uzbek).
The Provider offers to conclude a contract on the following terms.
1. Subject matter of the contract
1.1. The terms "Client", "Business Client", "Consumer", "Order", "Enterprise", "Personal Account", "Team Account", "Meta Channels" and "Platform Data" are used in the meanings given to them in the User Agreement (section "Terms and subject matter"); other capitalised terms not defined in this Public Offer are used in the meanings given to them in the User Agreement. Account types and their relation to the concepts "Business Client" and "Consumer" are determined by the same section.
1.2. The Provider provides access to software and selected computing functions, as well as configuration and support to the extent of the selected plan. The Provider does not provide communication services; an Order does not and cannot include subscriber numbers, communication channels, carriage of traffic or other communication services. The Order determines the features, plan, price, usage units, limits, term and payment terms displayed to the Client before confirmation. Individual ongoing support and other additional contractual terms are provided only under Enterprise terms.
1.3. Access may include text agents, voice assistants and the Lynx Voice speech features, management of enquiries and customers, knowledge bases, information analysis, automation, creation and processing of materials, and collaboration. An application programming interface (API) for connecting the Client's own programs is provided if the Order provides for it. New products and features are connected after their release on the terms of the relevant Order. A product announcement does not mean that the product is included in paid access.
1.4. The Client's rights to use the Service and the Client Components are determined by the User Agreement (section "Rights to software and materials"). The remuneration for the rights granted is included in the access price. The Lynx Voice Supplemental Terms apply to Lynx Voice.
1.5. As regards Team Account features, including voice assistants in the browser and on the Client's website, this Public Offer is addressed to Clients whose application has been approved by the Provider. Before approval, no Order for such features is confirmed, and any payment received does not constitute Acceptance and is refunded. Connection of voice assistants to the Client's own PBX and communication channels, individual terms and availability levels are provided only under Enterprise terms. This Public Offer is not addressed to persons with whom a contract was previously terminated by the Provider in connection with a material breach, unless the breach has been remedied.
2. Conclusion of the contract
2.1. Before a paid Order is confirmed, the Client is provided with the text of this Public Offer and information about the Provider, including its name, address, registration details and contact details; the scope of access and the main characteristics of the features; the price in soums, stating the taxes included, the usage units, the price of overage and mandatory surcharges; the access term, the minimum subscription period and the payment frequency; the terms of automatic renewal and the method of cancelling it; the available payment methods; the procedure for terminating the contract and refunding money and the refund period; the terms on which defects are remedied and the procedure for submitting claims; and the period within which the Order may be confirmed. The information is provided in the state language and, at the Client's choice, in Russian. The Order and this Public Offer can be saved. Additional paid features, configuration and support are connected only at the Client's choice.
2.2. This Public Offer is accepted in full and without any exceptions or reservations ("Acceptance") by confirming an Order with a button that expressly indicates an obligation to pay, or by paying an invoice that contains the Order terms and a link to this Public Offer. The contract is concluded when the Provider receives such confirmation or payment. If separate agreement is required, the contract is concluded after confirmation by both parties. Confirmation of the Order is sent through an agreed electronic channel. A revocation of Acceptance is sent to contact@lynx-ai.uz; if it is received before or at the same time as the Acceptance, the Acceptance is deemed not received. After the contract has been concluded, the terms on its amendment and termination apply. The Client's proposals for other terms require separate confirmation by the Provider.
2.3. Registration, free use, a test connection, receipt of an invoice and a request for a quotation do not create an obligation to pay for access or additional work and do not authorise subsequent charges. Free use is governed by the User Agreement and the Acceptable Use Policy.
2.4. The composition of the contract and the order in which documents apply in case of discrepancy are determined by the User Agreement (section "Conclusion of the contract"). The same section governs electronic documents, the authority to perform actions on behalf of an organisation and the evidentiary value of the Service's records. Separately required consents are given separately.
2.5. This Public Offer is valid from the date of its publication until it is replaced or withdrawn. Withdrawal or replacement of this Public Offer does not terminate contracts concluded earlier. The period for accepting a particular Order or paying an invoice is stated when ordering or in the invoice itself, separately from the period of access to the Service; after that period, confirmation of the current terms by the Provider is required. The text of the contractual terms is provided to the Client in the Uzbek and Russian languages; the rule for applying them in case of discrepancy is set out in the User Agreement (section "Governing law, language and disputes").
2.6. The contract is valid from the moment of its conclusion until its termination. Access under an Order is provided for the paid period stated in the Order; the minimum subscription period is stated in the Order before it is confirmed. Complaints and claims are accepted at contact@lynx-ai.uz and are considered in the manner set out in clause 6.5 and in the User Agreement (section "Governing law, language and disputes").
3. Price and payment
3.1. The price may include a fixed access fee and charges for configuration and actual usage. Within the Republic of Uzbekistan, prices are set and payments are made in soums, without linking domestic plan prices to a foreign currency. Another currency is permitted under a separate Order only in the cases provided for by law. Before purchase, the usage units, the rate, rounding, the start and end of metering, the included volume and the price of overage are stated. No surcharges are charged on the basis of unagreed metrics. For a Consumer, the price displayed is final and includes all taxes and mandatory payments charged by the Provider. If the Provider is a payer of value added tax, the tax is included in the price and shown separately in the invoice and in the electronic VAT invoice. If the tax rate established by law changes, the price for a Business Client changes for periods not paid as of the date on which the change takes effect; the price of a period paid by a Consumer does not change.
3.2. Usage volume is determined by the automated metering tools of the Service. Reconciliation takes into account the metering records relating to the Order and the Client's reports and evidence. The Client can check the period, volume and cost of usage in the account dashboard or in a report. Measurement errors, duplicate charging for a single operation and technical retries caused by the Provider are corrected. Payment for interrupted processing or processing without a result is permitted only on the terms displayed before the Order. In the absence of such terms, an operation that fails for a technical reason on the Provider's side is not charged. A mismatch between an Output provided and subjective expectations is not a metering error. A Business Client may send a reasoned objection to the metering data within ten calendar days after the end of the billing period. In the absence of an objection, the metering data for that period is deemed accepted by the Business Client unless it is proven to be erroneous. This rule does not apply to a Consumer.
3.3. Paid overage of a limit, automatic top-up and assistant actions that create external costs require separate authorisation with a set budget. Without such authorisation, spending is limited to the agreed limit. The Provider may require prepayment.
3.4. Automatic renewal and recurring charges are permitted only with the Client's separate authorisation, expressed by ticking a box that is not pre-ticked when placing the Order or by another separate action. Before the authorisation is obtained, the amount, the frequency, the date of the first recurring charge and the method of cancellation are displayed. Registration, linking a card, acceptance of general terms and payment for a previous period do not by themselves give such authorisation. The authorisation applies only to the amount and frequency displayed when it was obtained. Cancellation in the account dashboard or by a request to contact@lynx-ai.uz stops subsequent renewals; the Provider confirms the cancellation, and a charge not initiated by the time the cancellation is received is not made. Deletion of the account stops automatic renewal. If a recurring charge does not go through, a new period does not begin, and the Provider informs the Client accordingly; an unsuccessful renewal does not give rise to any debt owed by the Consumer. Mandatory requirements of the bank and the payment organisation for authorising charges continue to apply.
3.5. The price of a new Order is displayed before it is confirmed. The Provider may change the access price for the next period of an existing subscription by notifying the Client through the account dashboard and at the email address of the account owner at least thirty calendar days before the start of that period. The notice states the new price, the date from which it applies and the method of cancelling renewal. If an automatic renewal authorisation is in effect, a charge at the new price is made only after the Client confirms the new price in the account dashboard; without such confirmation, the subscription is not renewed and ends at the end of the paid period. For a Business Client paying for access by invoice, the new price applies to invoices for periods beginning after the notice period has expired; payment of such an invoice means agreement with the new price. The price, term and volume of the paid period do not change. A price change does not change other terms of the contract and does not constitute acceptance of a new version of the contractual documents. The price for a Consumer does not depend on the payment method chosen; fees of payment organisations charged to the Provider are included in the price. Costs that a Business Client incurs under its contract with its bank when transferring funds are borne by the Business Client.
3.6. "Balance Units" give the right to use the Service in the specified volume and are not a deposit, electronic money or a means of payment. Paid Balance Units and free bonus units are accounted for separately. Unless otherwise stated when bonus units are credited, they are used first. The validity period of paid Balance Units is displayed before purchase. For a Consumer, this period is at least twelve months from the date of purchase. The value of paid Balance Units not used by the Consumer, including after their validity period has expired, is refunded at the Consumer's request on termination of the contract under clause 6.4. Bonus units may have a limited validity period and are not exchangeable for money.
3.7. A "Trial Period" is provided on the terms displayed when it is activated: duration, volume and features. At the end of the Trial Period, paid access begins only after an Order is confirmed, and recurring charges only with separate authorisation under clause 3.4. Linking a card for a Trial Period does not give the Provider the right to charge it. The User Agreement (section "Operation and changes of the Service") applies to Test Features.
3.8. Payment is made by bank card through payment organisations whose details are shown on the payment page, or by bank transfer against the Provider's invoice. The list of payment methods may change; the available methods and payment information depend on the account type and the Order and are displayed before the Order is confirmed. The Client's relations with the bank and the payment organisation are governed by their terms. The Client's payment obligation is deemed fulfilled from the moment the funds are credited to the Provider's bank account or the Provider receives confirmation of a successful payment from the payment organisation. The payment reference for a payment against an invoice states the number of that invoice; a payment without such reference is credited after it has been identified. The Provider's bank details are stated in the invoice. A Business Client provides its full name, Tax ID (STIR), address and bank details in the account dashboard or when placing the Order; this information and the information about the Provider stated in the Order or invoice constitute the details of the parties to the contract.
3.9. If the payment organisation has not confirmed the outcome of a transaction, the payment is deemed neither made nor declined until confirmation of its final status is received. Until then, the Provider does not initiate a new charge for the same Order or period. Once a successful payment is confirmed, access is provided for the paid period. If a charge is confirmed but access has not been provided, the Provider, at the Client's choice, provides access or refunds the amount in the manner set out in clause 6.5. An amount charged a second time for the same period is refunded without a separate request from the Client.
3.10. The current plans, the features they include and the prices are posted on the Provider's website and in the account dashboard and form part of this Public Offer. The price of a particular Order is fixed in the Order as at the date of its confirmation. The procedure and periods for refunds are set out in section 6.
3.11. After receiving payment, the Provider generates an electronic receipt in the manner provided for by law and sends it to the Client's phone number, email address or account dashboard. The Provider issues an electronic VAT invoice to a Business Client through the electronic document management system. The Business Client signs the electronic VAT invoice or sends a reasoned refusal within ten calendar days of its receipt. If no reasoned refusal is received within that period, access for the period stated in the VAT invoice is deemed accepted without objection. Rejection of an electronic VAT invoice without reasoned objections does not release the Business Client from the obligation to pay for access actually provided. This provision does not deprive a Business Client of the right to prove a metering error under clause 3.2.
3.12. It is recommended that the Client contact the Provider before applying to a bank or payment organisation with a demand to reverse a transaction. This provision does not restrict a Consumer's right to apply to the bank or the payment organisation. If a Business Client has disputed a payment transaction for access that was properly provided, the Provider may suspend the affected paid features until the matter is settled, and the amount returned to the Business Client under that transaction remains its debt.
3.13. The Client pays message fees set by the owner of a connected channel, including Meta, to the owner of the channel under its rules, unless the Order provides otherwise.
4. Provision of access
4.1. Access is provided within the period and upon fulfilment of the conditions of the Order. Standard connection and support are provided to the extent of the plan and this Public Offer. The list and timing of individual configuration and ongoing support work are established only by Enterprise terms; a separate fee for such work is charged only on those terms.
4.2. The Client manages administrators, Client Users, connections and the authority of assistants, and determines the data, actions, recipients and spending limits available to them. A run on a schedule or upon a configured event is deemed an instruction to perform the relevant scenario without a separate request for each action. The Client checks the scenario before launch and monitors its operation. If unauthorised access is suspected, the Client suspends the affected scenario by the means available to it and notifies the Provider without delay. For a Business Client, actions of agents within the authority configured by it and actions performed using access keys issued to it are attributed to the Client in the manner established by the User Agreement; in relations with a Consumer, the authority, the circumstances of the event and the obligations of both parties are taken into account.
4.3. The Client complies with the applicable requirements concerning personal data, advertising, intellectual property and the use of artificial intelligence, and ensures lawful grounds for processing materials and third-party data, recording conversations and sending messages. By connecting an Integration, the Client instructs the Provider to perform operations within the selected features and the authority granted.
4.4. The Provider provides the agreed access and the configuration and support provided for by the plan, and takes the necessary protective measures. Round-the-clock automation depends on the availability of systems. Individual availability guarantees, support timeframes and compensation are established only by Enterprise terms. Ordinary limits on request frequency, concurrent operations and material size are communicated before connection. Temporary restrictions to prevent threats are applied under the User Agreement (section "Breaches, suspension and termination"), and the billing and refund rules provided for by this Public Offer continue to apply. The operation of External Channels is governed by the User Agreement (section "Integrations, external channels and communications").
5. Outputs and integrations
5.1. Outputs may contain errors and may be similar to Outputs created for other users. The Client checks their accuracy, lawfulness and suitability before publication, sending or taking significant decisions. The Provider does not guarantee specific income, sales, the accuracy of each Output or the emergence of exclusive rights in it.
5.2. Rights to Client Materials and the licence that the Client grants to the Provider for their processing are determined by the User Agreement (section "Rights to software and materials"). Training models on personal data, commercial distribution of another person's voice and publication of private content require an independent legal ground; Acceptance does not replace it. Platform Data is not used to train models.
5.3. The Client is responsible for its accounts on connected platforms and for compliance with their rules. The availability of platforms and restrictions on their operation are determined by their owners. The Provider is responsible for performing its own obligations relating to an Integration and gives notice of material restrictions. Liability for the Provider's own breach is not excluded by reference to the actions of third parties. Restriction or blocking by a platform owner of the Client's account, number, message template or Page, if not caused by the Provider's breach of its obligations, does not constitute improper performance of the contract by the Provider. Where paid functionality is materially reduced, the User Agreement (section "Operation and changes of the Service") applies.
6. Suspension, termination and refunds
6.1. Suspension of access, unilateral withdrawal from the contract and discontinuation of features are carried out under the User Agreement (section "Breaches, suspension and termination"). The Client may challenge a restriction by sending a request to contact@lynx-ai.uz.
6.2. Ceasing to use the Service does not release the Client from paying for access provided, work performed and computing functions used. An unused monetary advance not allocated to an agreed fixed fee or to other obligations payable is refunded after reconciliation, less undisputed debt and, where the Provider withdraws from the contract on grounds caused by culpable actions of the Business Client, also less the Provider's documented losses, in the manner established by the User Agreement (section "Breaches, suspension and termination"). The calculation of the fixed fee is governed by clause 6.3 and, for a Consumer, by clause 6.4. Free bonus units are not exchangeable for money. Set-off of other claims is permitted in the manner established by law.
6.3. A Business Client's fixed fee for an agreed period of properly provided access does not depend on the number of logins or the actual intensity of use. Non-use of the Service and voluntary early termination at the initiative of the Business Client do not by themselves give a right to a proportionate refund of that fee, unless the Order or a mandatory rule of law provides otherwise. For an annual subscription, the period, the price and the terms of early termination are expressly stated before purchase; a monthly calculation does not apply automatically. In the event of an erroneous or duplicate charge, a metering error, failure to provide paid access or termination of access by the Provider without a breach by the Client, the corresponding amount is refunded or, at the Client's choice, the volume is restored. Other consequences of termination are determined by the User Agreement (sections "Breaches, suspension and termination" and "Liability") and by law.
6.4. The following rules apply in relations with a Consumer:
(a) the Consumer may cancel automatic renewal at any time in the account dashboard or by a request to contact@lynx-ai.uz; access continues until the end of the paid period;
(b) the Consumer may withdraw from the contract at any time. The fee for the billing period in which withdrawal is declared is not refunded if access in that period was properly provided. In that case, access continues until the end of the current billing period. Where payment was made for several periods in advance, the difference between the amount paid and the cost of the elapsed periods, including the current one, calculated at the price of the plan with monthly payment, is refunded, but not more than the amount paid;
(c) the value of paid and unused Balance Units is refunded at their purchase price;
(d) in the event of failure to provide paid access, improper performance, or an erroneous or duplicate charge, the Consumer may demand a refund of the corresponding amount or another remedy provided for by law;
(e) free bonus units and volumes provided without payment are not refundable.
No fee is retained from a Consumer for access not provided or services not rendered. The period and method of refund are determined by clause 6.5. The mandatory rights of a Consumer provided for by law are preserved in full.
6.5. For a refund to be considered, the Client provides the Order identifier and the grounds for the request. Claims are considered in the manner established by the User Agreement (section "Governing law, language and disputes"). A refund is made within ten working days from the date on which the refund obligation arises and the objectively necessary payment details are received, if they are missing, or within a shorter period established by law. A mandatory refund is not conditional on additional consent of the Provider. Money is refunded by the same method by which payment was made, unless the parties have agreed on another method in the manner permitted by law; the costs of the refund are borne by the Provider. If crediting by the bank is delayed, the Provider provides confirmation of the transaction and assists in tracking it. These provisions do not extend the periods established by law and do not limit the period for protecting an infringed right.
6.6. The Client may export data using the available features during the access period. The export conditions provided for by this Public Offer or the plan apply to all Clients; an individual procedure for export after termination may be established only by Enterprise terms. The Client itself ensures that the necessary materials are saved before access ends. The rights of data subjects, the mandatory provision of information and the destruction of data are preserved regardless of the plan, payment or the existence of a separate agreement. Storage and destruction of data are governed by the Privacy Policy and the Data Processing Agreement. The storage and destruction of copies of data held by the owners of External Channels are governed by their rules.
7. Liability, disputes and versions
7.1. The liability of the parties, compensation for third-party claims, penalties and force majeure are determined by the User Agreement (section "Liability"). Governing law, the pre-trial claim procedure, jurisdiction and the language of the contract are determined by the User Agreement (section "Governing law, language and disputes"). These sections form part of this Public Offer.
7.2. A Consumer retains the rights established by law to remedies for improper performance, to apply to competent authorities and to choose jurisdiction in the cases provided for by law. The limitations established for a Business Client do not apply to a Consumer.
7.3. This version v5.5 dated 11 October 2026 applies to new contracts after it has been posted and its text has been provided before Acceptance. Existing contracts retain the previously accepted version; automatic renewal under a previous authorisation does not move them to the new terms. Subsequent versions are accepted in the manner established by the User Agreement (section "Changes and notices"), including by express confirmation of a new Order or payment of an invoice stating the relevant version, without a mandatory repeated checkbox if that action constitutes valid acceptance. Notice alone, silence or ordinary use is not sufficient to impose new obligations. Mandatory changes in the law and protective measures permitted under the existing contract apply in the prescribed manner.
